These Terms and Conditions (“Terms”) govern your use of the services provided by SUPERFED Global Business Solutions (“Company,” “we,” “our,” or “us”). By engaging with our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.
1. Scope of Services
SUPERFED Global Business Solutions provides professional services including, but not limited to, web design, digital marketing, social media management, branding, lead generation, and consulting. Each project’s deliverables, timelines, and fees will be agreed upon in writing (e.g., proposal, invoice, or service agreement) before commencement.
2. No Refund Policy
All payments made for services are non-refundable once services have been rendered, regardless of project completion status, unless otherwise stated in a signed contract.
- Services are considered “rendered” when any portion of the agreed deliverables has been initiated, worked on, or delivered.
- Proof of work includes, but is not limited to, invoices, drafts, designs, reports, campaign metrics, or any tangible evidence of effort.
- By engaging our services, you acknowledge and accept this no-refund policy in full.
3. Protection Against Fraudulent Claims
In the event of a chargeback or dispute, SUPERFED Global Business Solutions reserves the right to present all proof of work and communications to the payment provider, bank, or legal authority.
- Fraudulent chargebacks will be pursued to the fullest extent permitted by law, which may include debt collection and legal action.
- You agree not to file a dispute with your payment provider if we can provide evidence of service delivery.
4. Data Privacy & Security
We are committed to protecting your personal and business data. However, you acknowledge that no system is entirely immune to cyber threats.
- We implement industry-standard safeguards to protect against unauthorized access, alteration, disclosure, or destruction of data.
- In the event of a data breach, we will notify affected parties within the timeframe required by applicable laws.
- We are not liable for data breaches resulting from factors beyond our reasonable control, such as third-party service provider failures, cyberattacks, or your own negligence in safeguarding access credentials.
5. Client Verification & Due Diligence
It is solely the Client’s responsibility to ensure they are in contact with the official and authorized representatives of SUPERFED Global Business Solutions.
- Clients are expected to conduct their own due diligence before making payments, signing agreements, or sharing confidential information.
- SUPERFED Global Business Solutions will not be held responsible for losses, damages, or disputes arising from the Client’s failure to verify the legitimacy of communications or representatives.
6. Intellectual Property
- Unless otherwise agreed in writing, all intellectual property created during the project remains the property of SUPERFED Global Business Solutions until all invoices are paid in full.
- Upon full payment, ownership of final deliverables will be transferred to the Client.
7. Client Responsibilities
To ensure timely delivery of services, you agree to:
- Provide accurate and complete information in a timely manner.
- Respond promptly to communications and approval requests.
- Adhere to the agreed payment schedule.
Failure to comply may result in project delays or termination without refund.
8. Limitation of Liability
To the maximum extent permitted by law:
- SUPERFED Global Business Solutions is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services.
- Our total liability for any claim, whether in contract, tort, or otherwise, will not exceed the total fees paid by you for the specific service in question.
9. Force Majeure
We are not responsible for delays or failures in performance due to events beyond our control, including but not limited to natural disasters, internet outages, government restrictions, cyberattacks, or labor disputes.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of [Ontario]. Any disputes will first be attempted to be resolved amicably. If unresolved, disputes shall be submitted to binding arbitration or the appropriate courts in [Toronto/Ontario].
11. Changes to Terms
We reserve the right to update these Terms at any time. Any changes will be posted on our website with the updated date. Continued use of our services after such updates constitutes your acceptance of the new Terms.
